THIS MIINIORANDUM OFDEPOSIT OF TITLE DEED IS MADE ON THIS

Sonagazi, Dist: Feni-3930, Bangladesh (in case of limited
company change accordingly) do herby confirm, acknowledge and record that I/we
deposited with theBangshal Branch Branch of Social Islami Bank
Limited, hereinafter referred to as the BANK (which expression shall include
its successors-in-interest, legal representatives, administrators and assigns)
the title deeds and documents (details given in SCHEDULE-l) of which I/We
am/are the absolute owner with the intention of creating equitable mortgage on
the said properties, including my/our all right. Title and interest for the purpose
of securing the re-payment to the BANK on demand of all outstanding
dues including all charges and profit/rent/commission
against the investments/facilities (given details of investments/facilities) to
the extent of Tk. 5,000,000.00 (FIFTY LAC ONLY) only given by the BANK
to M/s.J.H ENTERPRISE (give details of the
investment client or if the mortgagor is the investment client change
accordingly.) having place of business office at 186, Arambagh, Hotel Al-Helal Building (3rd Floor)
Motijheel, Dhaka-1000, Bangladesh either solely and / or
jointly with any other person or persons liable to the BANK, whether on account
of the investment/facilities or any other liabilities including the bills of
exchange, promissory notes, cheques and other negotiable instruments, L/C
account, guarantee account or in any account whatsoever including profit/rent,
compensation' and charges accruing on or in connection with the said
liabilities or any other investment/facilities as may be given in future.
I/We do here by confirm that I/We am/are the absolute owner
(s) of the said properties with full right to mortgage and transfer my/our
interest and no one else has any right, title or interest in the said
properties.
AND I/We do hereby further confirm that whenever requested
by the BANK, I/We shall execute and register legal mortgage deed of the said
properties in favour of the BANK at my/our own cost in the usual form with the
power of sale and other provisions, if the BANK require for better securing the
payment on demand of all investments/facilities secured by this mortgage.
AND I/We further agree and confirm that the BANK in exercise
of its power under section 69 of the Transfer of Property Act, 1882 may sell
the said properties described in the SCHEDUI.FI-ll without intervention of any
Court of Law in case of default on my/ our part or on the part of investment
client and/ or by any one of us to pay the sum due or any part thereof after
the BANK demanded for the same. The said power to sell is expressly and
unequivocally conferred on the BANK.
AND I/We do hereby confirm that the documents deposited by
me/us all that were in my/our possession, custody and control relating to the
said properties and that the said properties or any part thereof are/is not
charged or encumbered in any manner.
AND l/We further undertake that in the event of conducting a
search over the title of the
Said property if the same is found to be defective in title
and/or encumbered in any manner, I/We shall make necessary arrangement to
rectify the defect to have a good title over the properties mortgaged at my/our
own costs and expenses.
